Terms of Service

1. Acceptance of Terms

By accessing or using Guidely ("the Service"), operated by Guidely ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

Guidely is a digital adoption platform that uses artificial intelligence to generate interactive onboarding tours for web applications. The Service includes scanning web pages, generating guided tours using AI, hosting and delivering embeddable tour widgets, and providing analytics on tour engagement.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Scan, access, or interact with websites or applications you do not own or have explicit permission to use
  • Violate any applicable laws, regulations, or third-party rights
  • Distribute malicious content, malware, or engage in phishing
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service to collect personal data without proper consent
  • Resell, sublicense, or redistribute access to the Service without our written consent

5. Intellectual Property

All content, features, and functionality of the Service (including but not limited to software, text, graphics, logos, and designs) are owned by Guidely and protected by intellectual property laws. Tours you create using the Service are your content, and you retain ownership of your tour configurations and customizations. By using the Service, you grant us a limited license to host, store, and deliver your tour content as necessary to operate the Service.

6. AI-Generated Content

The Service uses artificial intelligence to generate tour content including step titles, descriptions, and element targeting. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and approving all AI-generated content before publishing tours to your users. We make no guarantees regarding the accuracy, completeness, or appropriateness of AI-generated content.

7. Payment and Billing

Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy. We reserve the right to change our pricing with reasonable notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Guidely, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, regardless of the cause of action or the theory of liability (whether in contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms exceed the total amount you have actually paid to Guidely for use of the Service during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not made any payments to Guidely, our maximum aggregate liability shall not exceed fifty US dollars (US $50.00).

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected. We do not guarantee that the results obtained from the use of the Service will be accurate or reliable.

10. Indemnification

You agree to indemnify, defend, and hold harmless Guidely and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time. Sections regarding limitation of liability, disclaimers, indemnification, and governing law shall survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
