IMPORTANT — PLEASE READ CAREFULLY BEFORE USING GUIDELY

By creating an account, logging in (including via Google or any third-party authentication provider), installing the Chrome extension, or accessing or using the Service in any way, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service, our Privacy Policy, our End User License Agreement, and our Cookie Policy. If you do not agree to ALL of these terms, you must immediately stop using the Service and delete your account. YOUR CONTINUED USE CONSTITUTES BINDING ACCEPTANCE.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Guidely ("Company," "we," "us," or "our"). By accessing or using Guidely's website, Chrome extension, web dashboard, APIs, or any related services (collectively, "the Service"), you represent and warrant that:

  • You are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater
  • You have the legal capacity and authority to enter into a binding contract
  • If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms
  • You have read and understood these Terms in their entirety
  • You voluntarily agree to be bound by these Terms

We reserve the right to update, modify, or replace these Terms at any time, at our sole discretion, with or without prior notice. Changes become effective immediately upon posting. It is your sole responsibility to review these Terms periodically. Your continued use of the Service after any modifications constitutes your irrevocable acceptance of the revised Terms. If you do not agree to the revised Terms, your only remedy is to discontinue use of the Service.

2. Description of Service

Guidely is an in-app guidance platform for employee training, onboarding, and day-to-day help on any web application. The Service includes a Chrome extension for recording and playing interactive walkthroughs, AI-powered guide generation and assistance, a web dashboard for team management and analytics, and workspace-based guide sharing. All AI features are powered by Anthropic's Claude. The Service is provided on an "as is" and "as available" basis, and we make no guarantees regarding uptime, availability, or functionality. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, temporarily or permanently, with or without notice, and without liability to you.

3. Account Registration and Security

To use the Service, you must create an account with accurate, current, and complete information. You agree to update your information promptly if it changes. Providing false, misleading, or outdated information constitutes a breach of these Terms and may result in immediate account termination.

You are solely and exclusively responsible for:

  • Maintaining the confidentiality and security of your account credentials, including passwords and authentication tokens
  • All activities that occur under your account, whether authorized by you or not
  • Preventing unauthorized access to your account
  • Notifying us immediately at support@useguidely.com of any unauthorized use or suspected security breach

We shall not be liable for any loss, damage, or liability arising from your failure to safeguard your account credentials or from any unauthorized access to your account. You agree that we may rely on the authenticity of any action taken through your account as if it were taken by you personally.

4. Chrome Extension Permissions and Consent

The Guidely Chrome extension requires broad host permissions to operate on any website. By installing and using the extension, you explicitly acknowledge, consent to, and agree that:

  • The extension reads page content (DOM elements, text, structure, URLs, metadata) during active use of Guidely features
  • Screenshots of your browser tab are captured during active recording sessions and transmitted to our servers
  • Page content may be sent to third-party AI services (Anthropic Claude) for processing
  • You will only record guides on websites and applications you own or have explicit, documented permission to use
  • You assume full responsibility for ensuring your use of the extension complies with the terms of service of any third-party website you interact with
  • The extension does not passively monitor browsing activity, but you acknowledge that during active use, substantial page data is collected and transmitted
  • Guidely is not responsible for any consequences arising from your use of the extension on third-party websites, including but not limited to violations of those websites' terms of service

5. Acceptable Use

You agree not to use the Service to:

  • Record, scan, or interact with websites or applications you do not own or have explicit written permission to use
  • Violate any applicable local, state, national, or international laws, regulations, or third-party rights
  • Distribute malicious content, malware, viruses, or engage in phishing, social engineering, or any form of cyber attack
  • Attempt to reverse-engineer, decompile, disassemble, decrypt, or derive the source code of any part of the Service
  • Use the Service to collect, harvest, or process personal data without proper legal basis and consent
  • Resell, sublicense, redistribute, or commercially exploit access to the Service without our prior written consent
  • Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure
  • Circumvent, disable, or otherwise interfere with any security, rate-limiting, or access-control features
  • Use the Service to create competing products or services, or for benchmarking purposes
  • Use automated means (bots, scrapers, crawlers) to access the Service except through our official APIs
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Use the AI features to generate content that is intentionally misleading, harmful, discriminatory, or illegal

Violation of these acceptable use provisions may result in immediate termination of your account without notice, refund, or liability on our part. We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including reporting to law enforcement authorities.

6. Intellectual Property

All content, features, and functionality of the Service (including but not limited to software, source code, algorithms, text, graphics, logos, icons, images, audio, video, designs, data compilations, and documentation) are owned by Guidely or its licensors and are protected by United States and international intellectual property laws, including copyright, trademark, patent, trade secret, and other proprietary rights.

Guides you create using the Service are your content, and you retain ownership of your original guide configurations and customizations. However, by using the Service, you grant us a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, reproduce, modify, adapt, publish, transmit, display, and distribute your guide content as necessary to operate, improve, and promote the Service. This license survives termination of your account to the extent necessary to complete any pending operations.

You represent and warrant that you own or have the necessary rights, licenses, and permissions to all content you create, upload, or transmit through the Service, and that such content does not infringe upon the intellectual property rights of any third party.

7. AI-Generated Content

CRITICAL DISCLAIMER — READ CAREFULLY

The Service uses artificial intelligence (Anthropic's Claude) to generate guide content including step titles, descriptions, element targeting, suggested workflows, and contextual answers. You expressly acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, omissions, hallucinations, or inappropriate suggestions
  • AI-generated content does NOT constitute professional advice of any kind (legal, medical, financial, technical, or otherwise)
  • You are solely and exclusively responsible for reviewing, verifying, and approving ALL AI-generated content before publishing, sharing, or relying on it
  • Guidely makes ABSOLUTELY NO guarantees, warranties, or representations regarding the accuracy, completeness, reliability, timeliness, or appropriateness of any AI-generated content
  • You assume ALL risk associated with the use, distribution, or reliance on AI-generated content
  • Guidely accepts NO liability whatsoever for any decisions, actions, losses, damages, or consequences arising from AI-generated output, whether direct, indirect, incidental, or consequential
  • AI outputs may change over time and identical inputs may produce different outputs

BY USING AI FEATURES, YOU IRREVOCABLY WAIVE ANY AND ALL CLAIMS AGAINST GUIDELY ARISING FROM OR RELATED TO AI-GENERATED CONTENT.

8. Payment, Billing, and Refunds

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to the following:

  • You authorize us to charge the applicable fees to your designated payment method on a recurring basis (monthly or annually, as selected)
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
  • All fees are non-refundable except as required by applicable law. No refunds or credits will be issued for partial periods, unused features, downgrade decisions, or account suspensions due to Terms violations
  • We reserve the right to change pricing at any time. Price changes for existing subscribers take effect at the next billing cycle after 30 days' notice
  • Failure to pay may result in suspension or termination of your access to paid features
  • You are responsible for all applicable taxes, duties, and fees associated with your subscription
  • Chargebacks or payment disputes filed without first contacting us may result in immediate account termination

9. Data Processing and Consent

By using the Service, you explicitly consent to the collection, processing, storage, and transfer of your data as described in our Privacy Policy. This includes the transmission of page content and element metadata to third-party AI services for processing, the storage of screenshots and guide data on our servers and those of our subprocessors, and the use of analytics data to improve the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have obtained all necessary consents from your organization and its employees for this data processing. You are solely responsible for ensuring your use of the Service complies with applicable data protection laws in your jurisdiction, including but not limited to GDPR, CCPA/CPRA, and any other applicable privacy regulations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

GUIDELY, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, "GUIDELY PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Service
  • Any AI-generated content, including errors, inaccuracies, or reliance thereon
  • The behavior of the Chrome extension on third-party websites
  • Unauthorized access to or alteration of your data or transmissions
  • Any third-party conduct, content, or services accessed through the Service
  • Service interruptions, downtime, bugs, errors, or data loss
  • Any actions taken or decisions made based on information provided by the Service
  • Termination or suspension of your account
  • Any other matter relating to the Service

REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, PRODUCT LIABILITY, OR OTHERWISE), EVEN IF GUIDELY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE GUIDELY PARTIES' TOTAL AGGREGATE LIABILITY EXCEED THE LESSER OF:

  • The total amount you have actually paid to Guidely for use of the Service during the three (3) months immediately preceding the event giving rise to the claim; or
  • Fifty US dollars (US $50.00)

THIS LIMITATION APPLIES TO ALL CLAIMS IN THE AGGREGATE, NOT PER INCIDENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE GUIDELY PARTIES HEREBY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • ANY WARRANTY THAT DEFECTS WILL BE CORRECTED
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR QUALITY OF ANY AI-GENERATED CONTENT
  • ANY WARRANTY REGARDING THE COMPATIBILITY OF THE SERVICE WITH ANY PARTICULAR THIRD-PARTY WEBSITE OR APPLICATION
  • ANY WARRANTY REGARDING DATA PRESERVATION, BACKUP, OR RECOVERY

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM GUIDELY OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Guidely Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable attorneys' fees, court costs, and settlement amounts) arising out of or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your use, distribution, or reliance on AI-generated content
  • Your recording, scanning, or interaction with third-party websites through the extension
  • Your violation of any rights of a third party, including intellectual property, privacy, or contractual rights
  • Any content you create, upload, transmit, or share through the Service
  • Any claim by a third party related to your use of the Service
  • Your failure to comply with applicable data protection laws

This indemnification obligation survives termination of these Terms and your use of the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.

13. Assumption of Risk

You expressly acknowledge and assume all risks associated with using the Service, including but not limited to risks related to AI-generated content accuracy, Chrome extension interactions with third-party websites, data transmission over the internet, and reliance on the Service for employee training. You acknowledge that the Service operates on third-party websites that Guidely does not own, control, or endorse, and that such websites may change their structure, content, or terms of service at any time, potentially affecting the functionality of Guidely guides. You assume full responsibility for any consequences arising from such changes.

14. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS

Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and Guidely (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware, United States. The arbitrator shall have exclusive authority to resolve all Disputes, including the scope and enforceability of this arbitration provision.

Class Action Waiver: YOU AND GUIDELY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

Exceptions: Either party may bring an individual action in small claims court for Disputes within the court's jurisdiction. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, and without any liability to you. Grounds for termination include, but are not limited to:

  • Violation of these Terms or any related agreements
  • Requests by law enforcement or government agencies
  • Discontinuation or material modification of the Service
  • Unexpected technical or security issues
  • Extended periods of inactivity
  • Non-payment of fees
  • Any conduct that we determine, in our sole discretion, is harmful to other users, third parties, or the business interests of Guidely

Upon termination: your right to use the Service immediately and automatically ceases; you must uninstall the Chrome extension; we may delete your data within 30 days (with no obligation to maintain or forward any data to you); and you are not entitled to any refund of fees paid.

Sections regarding limitation of liability, disclaimers, indemnification, arbitration, intellectual property, and governing law shall survive termination indefinitely.

16. Force Majeure

Guidely shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, sanctions, embargoes, fire, floods, strikes, power failures, internet or telecommunications failures, cyber attacks, third-party service outages, or any other event beyond our reasonable control.

17. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC"), and the International Traffic in Arms Regulations maintained by the U.S. Department of State. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. To the extent that arbitration does not apply, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to jurisdiction, venue, or inconvenient forum.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

20. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Guidely. No waiver shall constitute a continuing waiver or a waiver of any subsequent breach.

21. Entire Agreement

These Terms, together with the Privacy Policy, EULA, and Cookie Policy, constitute the entire agreement between you and Guidely regarding the Service and supersede all prior agreements, communications, and understandings, whether oral or written, between you and Guidely. No amendment to these Terms shall be binding unless in writing and executed by Guidely.

22. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may freely assign these Terms and our rights and obligations hereunder, in whole or in part, to any third party without notice or consent, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets.
